3. Eligibility and Accounts

  • You must be authorised by your organisation to use the Service and must use it only for lawful purposes related to your role (e.g. health worker, manager, administrator).
  • You are responsible for keeping your login credentials confidential and for all activity under your account.
  • You must notify us promptly of any unauthorised access or breach of security.

4. Acceptable Use

You agree to use the Service only in accordance with:

  • Applicable laws and regulations, including those governing data protection and confidentiality (e.g. UK GDPR, Data Protection Act 2018).
  • Your organisation’s policies and any applicable professional or clinical standards.
  • These Terms and Conditions.

You must not:

  • Use the Service for any unlawful or fraudulent purpose.
  • Attempt to gain unauthorised access to the Service, other accounts, or any systems or data.
  • Share your login details or allow others to use your account.
  • Use the Service in any way that could harm, overload, or impair the Service or others’ use of it.
  • Copy, scrape, or automate access to the Service except where explicitly permitted.

5. Data and Privacy

  • The Service may process personal and sensitive data (including health-related data). Such processing will be carried out in accordance with our Privacy Policy and applicable data protection law.
  • You must only access, use, and disclose data in line with your role, your organisation’s instructions, and the law. You must not use or disclose personal or patient data for purposes other than those for which it was collected.
  • Export, reporting, and other data-related features must be used only for authorised purposes and in compliance with confidentiality and data protection obligations.

6. Intellectual Property

  • The Service, including its design, content, software, and documentation (except where otherwise stated), is owned by us or our licensors and is protected by intellectual property rights.
  • You may not copy, modify, distribute, or create derivative works from the Service or its content except as necessary to use the Service in accordance with these terms or with our prior written consent.
  • Third-party tools or methodologies (e.g. MYCaW®) are used under their respective terms; their names and marks remain the property of their owners.

7. Disclaimers

  • The Service is provided "as is". We do not warrant that it will be uninterrupted, error-free, or free of harmful components.
  • We are not responsible for decisions made or actions taken based on data or reports generated via the Service. Clinical or organisational decisions remain the responsibility of the relevant professionals and organisations.
  • We do not guarantee the accuracy or completeness of any data entered by users or of any outputs produced by the Service.

8. Limitation of Liability

  • To the fullest extent permitted by law, we (and our affiliates, officers, and employees) shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, arising from or in connection with your use of the Service.
  • Our total liability in respect of any claim or series of connected claims arising out of or in connection with the Service shall not exceed the amount (if any) paid by you or your organisation for use of the Service in the twelve (12) months preceding the claim, or such other limit as may be set out in a separate agreement.
  • Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded or limited by law.

9. Suspension and Termination

  • We may suspend or terminate your access to the Service if we reasonably believe you have breached these terms, or for operational, legal, or security reasons.
  • Your organisation may also revoke or change your access in line with its own policies.
  • On termination, your right to use the Service ceases immediately. Provisions that by their nature should survive (including confidentiality, liability, and dispute resolution) will remain in effect.

10. Changes to the Service and Terms

  • We may change the Service (including features, availability, or design) at any time. We will use reasonable efforts to give notice of significant changes where appropriate.
  • We may update these Terms and Conditions by posting a revised version and updating the "Last updated" date. Your continued use of the Service after the updated terms are posted constitutes acceptance of the new terms. If you do not agree, you must stop using the Service.

11. General

  • Entire agreement: These terms (together with our Privacy Policy and any other documents we refer to) constitute the entire agreement between you and us regarding the Service.
  • Severability: If any part of these terms is held to be invalid or unenforceable, the remaining parts will continue in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these terms does not constitute a waiver of that right or provision.
  • Assignment: You may not assign or transfer your rights or obligations under these terms without our prior written consent. We may assign our rights and obligations without restriction.

12. Governing Law and Disputes

These Terms and Conditions are governed by the laws of England and Wales. Any disputes arising out of or in connection with these terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales (or of Scotland or Northern Ireland if you are based there and the law so requires).
